Part 2 : Wholesale Purchasing Agreement

Please read the following terms in full before proceeding.

This Wholesale Purchasing Agreement (the "Agreement") is entered into by and between the applicant listed in Part 1 (the "Buyer") and AJ Interlink USA LLC dba AJ Tech (the "Seller"), located at 2828 Forest Ln Ste 1091, Dallas, TX 75234.

1. Orders and Payment

All wholesale orders are subject to a minimum order value of $250.00 USD. Seller does not extend credit, financing, or net payment terms under any circumstances. 100% payment must be made in advance before any goods are processed, packed, or released for collection. Seller reserves the right to refuse or cancel any order for any reason.

2. Shipping Terms and Risk of Loss (EXW)

All transactions are strictly Ex Works (EXW) Dallas, Texas, USA (Incoterms 2020). Seller's sole responsibility for delivery is to make the goods available at Seller's premises. Buyer is entirely responsible for arranging transportation, providing shipping labels, bearing all freight costs, and handling all export and import customs clearances. Title to the goods and the risk of loss, damage, or delay transfers entirely to the Buyer the moment the goods are collected from Seller's facility by the Buyer or the Buyer's designated carrier/freight forwarder.

3. Export Compliance

Buyer agrees to comply with all applicable export and import control laws and regulations of the United States and the destination country. Buyer warrants that the goods will not be exported, re-exported, or transferred to any embargoed countries, restricted parties, or used for prohibited end-uses.

4. Returns and Warranties

Due to the complexities of international shipping, all wholesale and international sales are final. Claims for factory defects, missing items, or discrepancies must be submitted in writing to Seller within five (5) business days of the goods arriving at the Buyer's final destination. Seller may, at its sole discretion, offer account credit or replacement for verified factory defects. Seller disclaims all implied warranties, including merchantability and fitness for a particular purpose.

5. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the state or federal courts located in Dallas County, Texas.

Agreement: I have read, understood, and agree to all clauses of the Wholesale Purchasing Agreement above. I am an authorized representative of the Buyer with the authority to bind the company to this Agreement.
